1. Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of the Paratus Health, Inc. (“Paratus Health,” “we,” “our,” or “us”) products and services, including our AI-powered voice agents, patient intake systems, call handling, transcription, documentation, and EHR integrations (the “Services”).
By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a healthcare provider, clinic, or other organization, you represent that you have authority to bind such entity.
2. Nature of Services
Paratus Health provides AI-powered communication and documentation tools designed to:
- Handle inbound/outbound clinic calls
- Automate patient intake and scheduling
- Verify insurance eligibility and co-pay information
- Integrate with EHR systems (e.g., Athenahealth, eClinicalWorks, OpenDental)
- Generate structured documentation such as SOAP notes
Paratus Health does not provide medical advice. The Services are intended to support healthcare providers and administrative staff but are not a substitute for professional clinical judgment. Healthcare providers remain solely responsible for medical decisions, diagnoses, and patient care.
3. HIPAA & Data Privacy
Paratus Health is a Business Associate under HIPAA when handling Protected Health Information (“PHI”) on behalf of Covered Entities.
- We maintain Business Associate Agreements (BAAs) with all Covered Entities and subcontractors.
- We use strict tenant-level data isolation and role-based access controls to ensure no cross-contamination of PHI across organizations.
- All PHI is encrypted at rest and in transit.
- PHI is retained for a minimum of six (6) years in compliance with HIPAA.
- In the event of a data breach involving PHI, Paratus Health will provide notifications in accordance with HIPAA breach notification requirements.

4. User Responsibilities
By using the Services, you agree to:
- Provide Accurate Information – Ensure that patient and clinic data you provide is accurate and up to date.
- Comply with Laws – Use the Services only in compliance with HIPAA, HITECH, and other applicable healthcare, privacy, and telecommunication laws.
- Maintain Access Controls – Ensure that your clinic staff accounts are managed appropriately and that login credentials are not shared improperly.
- Acknowledge AI Limitations – Understand that Paratus AI agents are not human staff and may require oversight. Clinical decisions must not rely solely on AI outputs.
5. SMS & Communication Terms
When you opt in to receive SMS communications from Paratus Health, the following apply:
- Phone numbers collected for SMS will not be shared with third parties for marketing purposes.
- Message types include appointment reminders, billing notices, intake instructions, and follow-up messages.
- Message frequency may vary, with up to 2 messages per week.
- Standard message and data rates may apply.
- You may opt out at any time by replying “STOP”, or reply “HELP” for support.

6. EHR Integrations
Paratus Health integrates with third-party Electronic Health Record (EHR) platforms. By using the Services, you authorize Paratus Health to access, transmit, and process PHI as required to perform agreed functions (e.g., scheduling, documentation, insurance verification).
You acknowledge and agree that Paratus Health is not responsible for:
- Errors in third-party EHR platforms
- Limitations in data availability from EHR APIs
- Any delays or failures caused by third-party providers
7. Intellectual Property
All intellectual property rights in the Services, including AI models, software, designs, trademarks, and documentation, remain the exclusive property of Paratus Health or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for lawful clinic or healthcare administrative purposes.
8. Fees & Payment
If you are a paying customer, you agree to pay all fees as set forth in your subscription or service agreement with Paratus Health. Failure to pay may result in suspension or termination of Services.
9. Limitations of Liability
- No Medical Liability: Paratus Health is not responsible for clinical outcomes, medical decisions, or patient harm arising from reliance on AI outputs.
- Indirect Damages: To the maximum extent permitted by law, Paratus Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Liability Cap: Paratus Health’s total liability for any claim arising under these Terms will not exceed the total fees paid by you for the Services in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Paratus Health, its officers, employees, and affiliates from any claims, damages, or expenses arising out of:
- Your misuse of the Services;
- Your violation of applicable laws or these Terms;
- Your reliance on the Services for medical decision-making.
11. Termination
We may suspend or terminate your access to the Services if you violate these Terms or applicable laws. Upon termination, your right to use the Services immediately ceases, but obligations regarding confidentiality, data protection, and payment will survive termination.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in state or federal courts located in [San Francisco County / Santa Clara County], California.
13. Changes to Terms
Paratus Health may update these Terms from time to time. Updates will be posted with a “Last Updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
